Vendor Agreement

You run your own business. Market Bee gives you a storefront, an inventory system, and a way to take preorders — but the products, the prices, the permits, the taxes, and the customer relationship are all yours. This agreement says so precisely, because when something goes wrong with a product, it matters a great deal who was responsible for it.

This summary is here to orient you. The numbered sections below are the terms that actually apply.

1. Scope and relationship to our other terms

This Vendor Agreement is between you (the "Vendor", "you") and Market Bee LLC ("Market Bee", "we", "us"). It applies in addition to our Terms of Service, Privacy Policy, Acceptable Use Policy, Cookie Policy, and Copyright and DMCA Policy, all of which are incorporated here.

Where this Agreement and the Terms of Service conflict on a question specific to selling or listing, this Agreement controls. On everything else, the Terms of Service control.

You accept this Agreement by submitting a vendor application, accepting an invitation to a vendor team, publishing a storefront, or accepting a preorder.

2. Who can be a vendor

You must be at least 18, legally able to enter contracts, and operating a genuine business — a farm, farm stand, bakery, kitchen, craft or maker business, or similar — that actually grows, raises, makes, or prepares what you list, or that carries goods from local producers who do.

Market Bee is for original work. We are built for people who make the thing themselves, so the following are not a fit for the platform: artwork generated by AI, whether sold on its own or printed onto mugs, shirts, prints, stickers, or other goods; and items mass-produced from models, patterns, or designs you did not create. Designing something yourself and producing it with machinery you own — a 3D printer, a press, a kiln, a cutter — is exactly what we are for. The rule is about who authored the work, not the tools used to make it.

Using software to help run your business is fine and is not what this section is about — a logo, a product description, a tidied-up photo. This applies to the product you are selling.

Applying does not entitle you to a storefront. We may approve, decline, or revoke a vendor account at our discretion, and we do not have to give a reason. Approval is not an endorsement, a certification, or any statement that your products or your permits have been verified. We review applications to keep the platform useful, not to inspect your business.

You must keep your business information accurate and update it when it changes.

3. Your account and your team

You can invite team members and assign each of them a role — owner, admin, staff, or viewer — that controls what they can see and do. You are responsible for everything your team members do on your account, including listings they publish, preorders they accept or decline, and announcements they send.

Remove access promptly when someone leaves your business. Keep at least one active owner on the account; if none remains, we may be unable to help you recover it.

Support access. So that we can investigate a problem you report, a platform administrator may temporarily access your vendor account and see it as one of your team members would. This access is time-limited, logged, and used only for support, safety, and legal-compliance purposes. We will not use it to publish content, send announcements, or accept or decline preorders on your behalf without your request.

5. Your listings

Everything on your storefront must be accurate, current, and honestly your own. In particular:

  • list only products you actually have or can genuinely produce for the pickup window you offer;
  • describe ingredients, preparation, and known allergens accurately, and disclose shared-equipment or shared-kitchen cross-contact risk;
  • use your own photographs of your own products — not stock photos of someone else's goods, and not images you found online;
  • do not make health, medical, therapeutic, or disease-treatment claims about any product;
  • keep prices and units accurate, and keep inventory counts current so customers are not reserving something you cannot supply; and
  • make certification claims — organic, gluten-free, non-GMO, grass-fed, and the like — only if they are true and you can substantiate them.

You are the author and publisher of your listings. We may remove or edit content that violates this Agreement, is inaccurate or unsafe, or creates legal risk, and we may do so without notice.

6. Preorders and fulfillment

A preorder is a customer's request. You decide whether to accept it, in whole or in part. Once you accept, you have made a commitment to that customer, and you should:

  • respond to requests promptly, so customers are not left waiting;
  • hold the accepted items for the agreed pickup window;
  • be where you said you would be, at the time you said you would be there, or update your schedule and tell affected customers;
  • honor the listed price, adjusting only for actual weight or count, and explain any adjustment before the customer pays; and
  • cancel with as much notice as you can, using the right reason, when you genuinely cannot fulfill.

Repeatedly failing to respond, cancelling at a high rate, or not showing up for accepted preorders is a breach of this Agreement and may cost you your storefront.

Estimated totals shown to customers exclude taxes, fees, discounts, and weight or count adjustments. You set the final price at fulfillment. Do not treat an estimate as a quote you can raise arbitrarily — a customer who is surprised at pickup is a customer you have lost, and a complaint we will hear about.

7. Payment, pricing, and tax

Market Bee does not process payments and never handles your money. You collect payment directly from the customer, by whatever method you accept, outside the Service. We do not escrow funds, issue refunds, or process chargebacks, and we have no ability to move money on your behalf.

You set your own prices. You are solely responsible for determining, charging, collecting, reporting, and remitting every applicable tax on your sales — including Arizona transaction privilege tax and any municipal tax — and for issuing any receipt or record a customer or a taxing authority requires. We do not provide tax advice and we do not file anything for you.

You handle refunds, exchanges, make-goods, and customer complaints about your products directly. Have a refund practice, apply it consistently, and tell customers what it is.

Fees. Market Bee is currently free for vendors. If we introduce fees, we will give you at least 30 days' written notice before they apply, and you may close your storefront rather than pay them.

8. Customer information you receive

When a customer reserves from you, we pass you the name and contact details they entered, the items they selected, and — when they choose delivery — the street address they gave us so you can bring the order to them. You receive that information as an independent business responsible for your own privacy compliance — we are not your processor and you are not ours.

You agree to:

  • use customer information only to fulfill and communicate about that preorder, and for the records your business is legally required to keep;
  • not sell, rent, license, or otherwise disclose it to anyone else;
  • not add customers to a marketing list, newsletter, or SMS program without their separate, informed consent — a preorder is not consent to be marketed to;
  • keep it secure, and delete it when you no longer need it;
  • honor any request a customer makes to you directly to access, correct, or delete their information; and
  • tell us promptly at support@themarketbee.com if you experience a breach involving customer information you received through the Service.

Announcements. If you send announcements through the Service, send them only to people who chose to receive them, keep them relevant to your business, include no misleading subject lines, and never obstruct an unsubscribe. Federal law (the CAN-SPAM Act) applies to commercial email you send, including through our system. We may rate-limit, review, or block announcements, and we will suspend announcement privileges for anyone who spams.

9. Content license

You keep ownership of your storefront content, product descriptions, and photographs. You grant us the license described in the "Content you post" section of the Terms of Service — a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, adapt, and distribute that content to operate, improve, and promote the Service.

That includes showing your storefront and products in search results, on the map, on discovery pages, in our sitemap and in search engines, in emails we send about your business, and in Market Bee marketing that features vendors on the platform. You also permit us to use your business name and logo to identify you as a vendor on Market Bee.

You represent that you hold the rights to everything you upload and that it infringes no one's copyright, trademark, or other rights. Repeat infringement will end your account — see the Copyright and DMCA Policy.

10. You are an independent business

Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and Market Bee. You control your own business, products, prices, hours, methods, and staff. You are not our employee or contractor, we are not your employer, and neither of us can bind the other or make representations on the other's behalf.

You are responsible for your own business expenses, equipment, insurance, benefits, and employment-tax obligations for anyone you engage.

Insurance. We strongly recommend that you carry general liability insurance and, if you sell food or consumable goods, product liability coverage appropriate to your volume and product type. Many farmers markets require proof of it regardless. We do not insure you and our coverage does not extend to you.

11. Suspension, removal, and termination

We may suspend or remove your storefront, individual listings, or your entire account — with or without notice — if we believe you have breached this Agreement or any incorporated policy, if your products or conduct create a safety or legal risk, if you are the subject of credible complaints, or if you become inactive.

You may close your storefront at any time. Before you do, honor or properly cancel every accepted preorder. On termination, your public storefront comes down; we retain preorder and transaction records as described in the Privacy Policy. Ask us at support@themarketbee.com if you need an export of your data, and we will provide what we reasonably can.

Sections that should survive termination do — including the content license already granted, your indemnity, disclaimers, limitation of liability, and dispute resolution.

12. Vendor indemnification

You agree to defend, indemnify, and hold harmless Market Bee LLC and its members, managers, officers, employees, contractors, and agents from any claim, demand, loss, liability, damage, penalty, fine, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: the products you offer or sell; any injury, illness, allergic reaction, or property damage they cause; your listings and other content; your failure to hold a required license, permit, or certification; your tax obligations; your handling of customer information; your announcements or other communications; your dealings with customers, markets, or other vendors; and your breach of this Agreement or of any law.

We may assume the exclusive defense and control of any such matter at your expense, and you agree to cooperate. This obligation is in addition to, not instead of, the indemnity in the Terms of Service.

13. Disclaimers and liability

The disclaimers and the limitation of liability in the Terms of Service apply fully to you. In particular, Market Bee does not guarantee any level of traffic, discovery, visibility in search or on the map, customer volume, preorder volume, or revenue, and is not liable for lost sales, lost profits, or lost goodwill arising from the Service, from a change to it, or from an interruption of it.

14. Changes to this agreement

We may update this Agreement. We will change the "Last updated" date, and for material changes we will notify active vendors by email or in the vendor dashboard before the change takes effect. Continuing to operate a storefront afterward means you accept it.
